RULES OF PROCEDURES OF THE

THALASSEMIA SOCIETY

IN NINAVA GOVERNORATE





First Part: Foundation and Goals



Article (1) : A charitable humanitarian society is to be founded to take care of those suffering from thalassemia and other blood diseases, who are badly in need of periodical and continuous blood transfusion, regardless of religion, sex and race.



Article (2) : It is called the Society of Thalassemia.



Article (3) : The society centre is in Ninava Governorate in consideration that it is the First Branch, in accordance with the provisions of the Clause FIRST of Article (11) of the Societies Act number 13 of year 2000.



Article (4) : Society Goals

1-Inviting freehanded people of this country to help and care for the society in whatsoever capabilities available.



2-Inviting the humanitarian and philanthropic organizations throughout the world to back up and care for the society financially and morally.



3-Cooperating with all systems of government, societies, local and international organizations which are concerned with those patients and their families.



4-Propogating the health awareness in all mass media about such diseases and methods of prevention from them.



5-Assisting in blood contribution campaigns in coordination with the blood bank.



6-Working towards helping the patients and their families solve their social and economical problems as far as possible.



7-Paying attention to cultural and social activities; organizing picnics and trips inside the country and abroad for the patients as well as their families.

8-Participating in local, regional and international conferences in the field of the inherited thalassemia and the subjects related.



9-Organizing holding Arabic, regional and international seminars after obtaining the approval of the specialized parties.

10-Founding by-committees of specialized people and of the

society members to study the healthy, economic, social and

technological problems which have a connection with the

inherited blood diseases, whose resolutions shall not be in force

except after the approval of the Administrative Board is

conducted.







11-Building a library and a data centre to be reference for

researchers in the field of the inherited thalassemia.



12-Publishing bulletins, scientific and educational magazines in the

field of inherited thalassemia.



13-Encouraging researches, medical and social studies which have

close connection with the society goals.



14-Organizing training courses for physicians as well as for

technical and administrative cadres working in the field of

inherited thalassemia in cooperation with the parties concerned.



15-Publishing and producing media materials: legible, audible and

visual in connection with the patients, their families and the

ways of prevention.



16-Publishing a magazine or a periodical bulletin that serves the

society goals and aspirations.





Article (5) : Arabic language is the society formal language



Second Part: Membership





Article (6) : Types of membership



1-Volunteer members:

They are individuals who represent no one but themselves. They agree to render services for the society in faith with its goals. They have no interests in obtaining financial benefits. They themselves form the bodies in charge at the society they alone are entitled to vote, nominate and elect in it after their meeting with the membership terms and abiding by the society laws and regulations.



2-Honorary members:

The administrative board are entitled to grant “honor” membership for the principals in charge, social individuals and physicians to believe in the society goals, care for it and present the moral and financial support in the personal status or a public one.



Article (7) : Membership terms



a-He is to be a member in the Plenary Session whoever presents an affiliation form after revising the Rules of Procedures. He becomes a member by a resolution from the administrative board. The membership acceptance is to be secret. The nominee is accepted if he wins the confidence of the two thirds of members of the Administrative Board members after payment of the annual subscription fee.



b-The society membership applications are considered as for those meeting with the following terms:



1-He is to be infected with the inherited thalassemia, or he has got a relative of the first degree infected with the same disease.

2-He is to be of the physicians or the middle-class cadre who work directly with the inherited patients and who have rendered good services.



3-He is not to be convicted with an immoral crime.



4-He is to be of a good line of conduct, behavior and reputation

he should have completed eighteen years of age and he is

legally competent.



5-He is to accept the Rules of Procedures in writing.



6-The Administrative Board is empowered to grant a permanent

or provisional honorary membership “Honor” for prominent

personages that Article (1) does not apply on them if that was

for the society benefit. The honorary member is provided with

a special identity card for no charge.



7-Affiliation applications shall not be accepted with effect from

the beginning of the year in which electing the administrative

faculty is conducted until it assumes its responsibilities.







Article (8) :

The admission of members is announced on the advertisement board at the society center. That is considered announcement in which the admitted member is to pay the affiliation charge and the contribution charge within a month of the announcement date. He is considered a member since that date, otherwise his membership shall be invalid. It is possible for him to apply for an affiliation to the administration once more.



Article (9) :

First: Rights of Membership



1-Debating all resolutions, views, Plenary Session and Administrative attitudes.



2-Nominating electing and voting.



3-Participating in all the society activities.



Second: Memberships Duties



1-Abiding by the Rules of Procedures and to pay the monthly subscription.



2-Executing the resolutions and recommendations of the Administrative Board and its by-committees.



3-Workink within the society formations.



Article (10) : Membership Termination



The membership of members is invalid in the following cases:



1-Death or resignation.



2-If he lost a term of the membership terms.



3-By a resolution from the Administrative Board if his default and negligence were proven or that he committed something contracting the society purposes. The member, upon whom that resolution was taken, is entitled to object to the Plenary Session at its first meeting.



4-If he is late in paying the subscription fee at its due date in accordance with the terms and provisions of the Rules of Procedures.



5-If he withdrew from the society by an application in writing. The Administrative Faculty takes the necessary to execute that.

Article (11) :

It is permissible, by a resolution from the Administrative Board, to restore the membership to the members whose membership was dropped due to their failure not to pay the subscription fee during the resolution period in case that they paid the late amounts on them, provided that a new affiliation application is to be presented.



Article (12) :

1-The membership, whose membership was dropped for whatsoever reason, has no right to refund the affiliation fee or the subscription or contribution or gifts presented to the society during his membership-Nor do his heirs in case of death.



2-All the society members, whether they have rights and upon them are obligations in the limits of the provisions of the Rules of Procedures as well as the instructions issued by the Administrative Faculty.



3-The membership applications are presented to Administrative Faculty accompanied by the secretary notes. The Administrative Faculty is entitled to postpone or refuse any application without giving reasons.



Third Part: The Society Formations

(Administrative Faculty & Plenary Session)



1- The Administrative Board



Article (13) :

a-The administrative Board is made up of nine original members chosen by the Plenary Session among its members with three reserve members by the secret voting every three years provided that the member should be:



1-Holding a university degree and of those socially activists.



2-From Ninava Governorate dwellers.



b-The election of the Administrative Board members is
conducted with the presence of a judicial representative to supervise the operation of election so as to secure the correctness of handling it in accordance with the Societies Act number (13) of year 2000 A.D.



c-The elected members meet and select, among them by secret voting, a chairman, a vice chairman, a secretary general and a treasurer, provided that it should be conducted in the first meeting directly after their election.

d-It is permissible for Administrative Board to host experts to its sessions.



Article (14) :

The Society Administrative Board assumes the following:



a-Working out an annual work plan.



b-Administrating the society affairs, supervising the application of its system, issuing resolutions therein, working out the annual

budget and the annual report about the society financial, and administrative activity.



c-Holding ordinary meetings by an invitation from the secretary that is not less than at least once per month or whenever necessary or by virtue of a claim in writing presented by three of its members to review the society affairs. The meeting shall not be considered complete except with presence of at least five of members.



d-The invitation is addressed to hold a meeting by the secretary through a letter before the date of the meeting indicating the date of meeting, enclosed with the session minutes and the memorandums related to it.



e-Supervising the forming of specialized committees in accordance with the society work to conduct certain commissions whether they are of the society members or others provided that its chairman as well as the rapporteur should be from the Plenary Session members.



Article (15) :

The absence or getting behind of the member from the Administrative Board meetings for three consecutive meetings without an acceptable excuse is considered resigned. His post shall be considered vacant and to be filled with the reserve member holding the majority of votes.



Article (16) : Duties of Administrative Board Members



First: Chairman



a-Heads the meetings of the Administrative Board as well as the Plenary session. He represents the society and acts on be half of it he or his vice or whomever he authorizes in the dealings in connection with the society at judicial references, all official faculties. He approves the dealings regarding the society, signs all financial papers and checks with the cashier. He is able to authorize one or more of the Administrative Board members by signing.



b-Signs all contracts and accords that are concluded with the society after ratifying them by the Administration Council.



c-The vice chairman assumes all powers of the society head in case of his absence. When both of them are absent, the eldest member represents the chairman.



d-If the chairman’s post becomes vacant for any reason, the vice chairman starts exercising the powers of the head, provided that the Administration Council elects a head from among his members in the first meeting after the post vacancy.



Second: Vice Head



He represents the head during his absence. He has got all powers.



Third: Secretary General



a-Preparing the Administrative Board agenda, inviting the members, assuming the meeting secretariat, verifying its minutes and resolutions in registers on which he enters the Administrative Board and the Plenary Session resolutions. They are viewed to the Administrative Board for ratifying them.



b-Supervising preparing a members’ register, where the society members’ threefold names are recorded, with the place, date of birth, nationality, profession, domicile address, the post and telephone number if applicable.



c-Handing over an annual report about the society works to the Administrative Board.



d-Viewing affiliation applications to the Administrative Board after his shedding light upon them.



e-Keeping documents, registers, contracts and seals in his entrust at the society center, including the members’ registers, the register of the Administrative Board re solutions, the correspondence register, the in-coming and out-going.



f-Signing on all the society writings except those found by the Administrative Board necessary to be signed by it.



g-It is permissible to appoint someone in the status of an official to assume all aforesaid powers or part of them by a resolution from the Administrative Board.



h-The Secretary General is entitled to draw the members’ attention to the violations committed by them.



Fourth: Treasurer



a-Assumes the general supervision on the society resources and its expenditures.



b-Signs with the head or whoever represents him on all checks and expenditures vouchers.



c-Conducts the supervision on depositing and withdrawing the society funds from local banks, in accordance with the Administrative Board resolutions, according to the society General Budget. He works on developing the society resources and monitors the income and the spending.



d-Prepares the next year budget project in cooperation with the Secretary General in order to view it to the Administrative Board and then the Plenary Session in its annual meeting.



e-Lays the final account of the ended fiscal year certified by a chartered accountant and presents it to the Plenary Board in its annual meeting to approve it.



f-keeps registers, financial books, documents and whatsoever is in connection with the financial side, at the society centre. Supervises the society accounts. He is in charge of all accounting data entered in the registers.



g-Keeps a register exclusive with the society movable and immovable furniture as well as property.



h-Hands over a report every three months to the Administrative Board about the society financial condition.



i-It is permissible to appoint someone in the status of an official to assume all or some of the treasurer’s powers by a resolution from the Administrative Board.



j-Cashes salaries and various bills of purchases, water, lighting as well as the repairs charges in accordance with what mentioned in the accredited society budget and according to the financial bill.



Article (17) : Administrative Board



a-The Administrative Board resolutions are taken by the majority of votes when the quorum occurs. In case of the equality of votes, the side in which the head exists is preferred.



b-The Administrative Board is to form permanent or provisional committees to conduct some activities so as to achieve the society goals provided that the committees resolutions are to be viewed to the Administrative Board to approve them and put them in force.

c-Cooperating with specialized parties in this disease for the purpose of upgrading the level of the healthy, preventive and social services rendered to individuals inflicted with this disease and their families.



d-Conducting social philanthropic and cultural activities aiming at soothing the burden of this disease upon the families and the inflicted individuals.



e-Debating complaints presented by the members or others, settling them and taking measures therein, according to the instructions prepared for such a purpose within the provisions of this system.



f-Concluding contracts and accords in the society name.



Article (18) : Resignation of the Administrative Board



Had more than half the Administrative Board members resigned, the Board would have been considered resigned in full. The Plenary Session meets to elect a new Administrative Board to complete the legal period of the ex-Board in an extraordinary meeting. The Administrative Board remains responsible till the society affairs are handed over to the new Administrative Board.



Article (19) : Dropping the Administrative Board



The Plenary Session is entitled to drop the Administrative Board in an extraordinary meeting convened for this purpose, provided that the Plenary Session meets within a period not less than two weeks and not more than four weeks of the date of submitting the application.



Article (20) :

The Administrative Board is entitled to appoint an official or an employee or more in the society when necessary for the fees decided by it.



2-Plenary Session



Article (21) :

The Plenary Session is made up of the society members who fulfilled their commitments and on whom .









Article (22) :

a-The Plenary Session holds its ordinary annual meeting by an invitation from the Administrative Board or two thirds of its members or during a period not exceeding three months of the date of the termination of the previous fiscal year, or by an invitation of two thirds of the Plenary Session. That is announced in the society head office and its branches, by means of local news papers and other mass media at least a week before the meeting date.



b-The Plenary Session quorum is complemented by the presence of half the number of members in its first meeting. The latter is postponed to the following week if the quorum is incomplete in the same time and place specified in the first invitation. The quorum shall be compete with whoever of the members attends.



Article (23) :

The Plenary Session considers the following matters by voting in the majority of those present:



a-Reading the annual report, debating and approving it.



b-Reading the treasurer’s report about the society fund, as well as the legal auditor of accounts and approving it.



c-Reading the budget estimations for the coming year and approving it.



d-Ratifying the following year strategy.



e-Electing the Head and the Administrative Board members for the coming circle and three reserve members by open nomination and the secret election among candidates.



f-Electing the Administrative Board members are conducted in the presence of a judicial representative to supervise the election to secure authenticity of its proceeding in accordance with the provision of the Act of open societies number 13 of year 2000 A.D. A report is to be made therein and presented to Mr. Mayor.



Article (24) :

Whoever presents an affiliation form after revising the Rules of Procedures shall become a member in the Plenary Session. He shall become a member by a resolution from the Administrative Board.







Fourth Part: Complaints and Punishments



Article (25):

The society members present whatsoever complaints in their possession to the society secretary and he is to investigate and settle them within a week of its presentation week and inform the plaintiff of the result of the action in his complaint. Had the member not agreed on the secretary’s resolution, he should have requested viewing his complaint to the Administrative Board. It is possible for the plaintiff to 8

ask the secretary to permit him to be present before the Administrative Board to show his point of view.



Article (26) :

It is obligatory for the society members to respect the society Rules Procedures, the Administrative Board resolutions and the miscellaneous instructions set by it. Had the member violated the provisions of the Rules of Procedures, or the instructions, or the Administrative Board resolutions; or acted in such a way that defames the society reputation or one of its members, or damages the society interest whether inside the society or off it, it is permissible to impose one of the following punishments on him:



1-Drawing attention.

2-Warning.

3-Suspending membership for a maximum period of six months.

4-Final dropping of the membership.



Article (27) :

It is permissible for the member on whom a resolution of dropping membership was passed, to plea from the Administrative Board to
re-consider his case after six months of the resolution date.



Article (28) : Dropping Membership from the Administrative Board members:

The membership is dropped from the Administrative Board member in the following cases:



1-Death or resignation.

2-The member’s loss of legal competence.

3-If he committed deeds defaming the society reputation so that he becomes inefficient of the membership.

Article (29) :

It is not permissible to re-nominate the Administrative Board member whose membership was dropped for the second time for the Administrative Board.









Article (30) : The Society Resources



1-Monthly subscription fees of the society Plenary Session.

2-Govenrmental awards.

3-Other awards, gifts, contributions, presents, subscription and endowment from individuals or groups.

4-Other revenues obtained by the society as a result of its activities as parties returns.



Article (31) :



a-Ways of Expenditure :

The society spends its funds in such a way that achieves its

purposes in accordance with the views of the Administrative

board that they are necessary to proceed the society works.

Among that is spending construction, furnishing and rendering

cervices at the thalassemia centers and paying salaries, rewards

and incentives for officials and employees working in the society

and the centers belonging to it.



b-Accounts Recording :

The society accounts are recorded in books indicating in details the expenditures and revenues including the contributions and their sources.



c-Annual Budget :

The Administrative Board conducts preparing the annual budget at least one month before the specified date of convening the Plenary Session annual meeting. The comptroller, appointed by the Administrative Board every year assumes checking the final account and the documents certifying it at least one month before that date. The budget as well as the Administrative Board reports are viewed to the Plenary Session for approval.



d-The Fiscal Year :

The fiscal year begins at the beginning of every year in January. It is considered the beginning of the membership year. Every member affiliates himself to the society within this period pays the whole year subscription.



e-Subscription Payment:

The subscription is paid in the first half of the year. Every member, late for payment, is drawn attention in a registered letter.



f-Every absent member abroad is exempt from the subscription fee for the period he spent provided that he tells in a writing letter about his travel.

g-Members are excused from paying the subscription fee by the Administrative Board from the subscription fee by the majority of members.



Article (32) :

The society is to possess movable assets and real estate in order to achieve its purposes. It has a legal personality.



Article (33) :

The society is to deposit its cash funds in its names at one of the accredited bank branches by virtue of a resolution taken by a council.



Article (34) :

The society is not permissible to spend its funds in purposes other than those for which it was founded.



Article (35) :

The society funds including the subscriptions, the movable assets and immovable assets, gifts, contributions, supports and awards are considered property of the society. None of the society members have the right of them.



General Provisions



Article (36) :

The Administrative Board lays whatsoever necessary of instructions so as to organize the society technical administrative and financial works, provided that they do not contradict with the provisions of the Act of Societies and this system.



Article (37) :

The society goal has to serve thalassemia and the inherited blood anemia in general, facilitate the course of treatment and prevention from this disease, health and social care for the society members by its cooperation and solidarity with the faculties concerned with this disease inside and outside the country.



Article (38) :

The society has to have registers stipulated in Article (27) of the Act Societies in force.



Article (39) :

It is possible to amend the Articles entered in this Rules of Procedures or add other Articles to it by an application submitted to the Administrative Board for debate and settlement in the case of submitting it to the Plenary Session for debate, provided that it wins the majority of the Administrative Board. Afterwards the Plenary Session is invited for debate and voting on it after winning the voting the consent of the majority of two thirds of the Plenary Session.



Article (40) :

The Administrative Board is to abide by what was stated in the previous Article during a maximum period of six months, provided that capabilities are available and that the voting does not contradict the provisions of this system, the society basic principles and the laws in force.



Article (41) :

In case of dissolving the society voluntarily, all the society movable and immovable assets return to the party whose aims and goals are close to this society aims, otherwise they go to a philanthropic party indicated by it, provided that the immovable property, that the society possessed from the government for no charge, should return to the government.



Article (42) :

In case of dissolving the society judicially, the Court of Cassation is to appoint a liquidator to liquidate the society assets.



Amending the Society Rules of Procedures and Voluntary Dissolving



Article (43) :

a-The amendment of the Society Rules of Procedures resolutions or dissolving it voluntarily are passed upon a suggestion from the Administrative Board signed by at least two thirds of its members. It is viewed to the Plenary Session at its meeting, provided that this voting within its enclosed minutes of meetings by announcing an invitation for this meeting.



b-The amendment resolutions or the optional dissolving have to be connected with the majority of two thirds of the present members in the meeting of the Plenary Session.



c-It is permissible for the Plenary Session to decide dissolving the society voluntarily, provided that it is invited to a meeting solely for this purpose by means of the Administrative Board whether spontaneously or in view of a written letter signed by at least a quarter of the members.
